Notice is hereby given that the One Hundred and Twelfth Annual General Meeting of The Medical and Dental Defence Union of Scotland will be held at 10.30 am on Friday 18 September 2015 at Mackintosh House, 120 Blythswood Street, Glasgow, for the following purposes:
Ordinary Business
1.To receive and consider the Annual Report of the Board and the Financial Statements for the year ended 31 December 2014.
2. To re-elect Members of the Board:
a. To re-elect Mr J Black, Professor W A Chambers, Dr J M Chapman and Mr A J Fleming who retire at this time under Article 15(10) of the Articles of Association and, being eligible, offer themselves for re-election.
b. To re-elect Ms M A McPhail who, having been co-opted by the Board since the last Annual General Meeting, retires under Article 15(17) and offers herself for re-election.
3. To re-appoint BDO LLP, Chartered Accountants, as auditors of the Union.
4. To authorise the Board to fix the remuneration of the auditors.
5. To transact any other business appropriate to an Annual General Meeting.
Special Business
6. To consider and, if thought fit, to pass the following resolution as a special resolution:-
THAT the Articles of Association of the Union be and hereby altered by adopting the amendments detailed in the Schedule of Amendments produced to the meeting and signed for the purposes of identification by the Chairman of the meeting.

A Member entitled to attend and vote at the Annual General Meeting convened by the foregoing notice is entitled to appoint a proxy to attend and vote in the Member’s place. A proxy need not be a Member of the Union. An instrument of proxy must (together with any authority under which it is executed or a copy of such authority certified notarially or in some other way approved by the Board) be deposited at Mackintosh House, 120 Blythswood Street, Glasgow G2 4EA by no later than 10.30 am on Wednesday 16 September 2014.
